Terms of service

The agreement between you and us for using Mi Chalan AI.

Last updated October 30, 2026

These terms are between you and Mi Chalan LLC (“we”, “us”), the provider of Mi Chalan AI. By creating an account, signing in, or opening a document link we sent you, you accept them. If you are accepting on behalf of a company, you are confirming you are allowed to.

The one thing to understand. An estimate, change order or invoice signed through Mi Chalan AI is a contract between the contractor and their client. We provide the tool and keep the record of the signature. We are not a party to that contract, we do not set or check anybody's prices, and we do not guarantee the work.

1. Who may use it

You must be at least 18 and able to enter a contract. Accounts inside a company are created by that company's owner or a manager. You are responsible for what is done under your login, so keep your password to yourself and tell us if you think someone else has it.

2. Your company's account

The owner of a company account controls who may join it, what each person can see, and what happens to the company's information. If you leave the company, the owner keeps the company's jobs, documents and client records — they belong to the company, not to your login.

3. Your content stays yours

Everything you put into Mi Chalan AI — your estimates, prices, photos, client records, logo and terms — remains yours. You give us only the permission we need to run the service for you: to store it, back it up, show it to the people you have given access to, put it into the PDFs and links you ask us to send, and process it to provide the features you use. We do not sell it and we do not use it to advertise. You are responsible for having the right to upload what you upload, including photos of a client's property.

4. Signatures

Signatures captured in the app are electronic signatures. By drawing or typing your name and confirming, you intend to sign the document, and you agree it may be enforced the same as ink on paper. We record the date, time, internet address and the exact version signed, and keep that record with the document.

Once a party has signed, the document locks. To change it the signatures must be cleared and both sides sign the new version. Neither we nor anyone else can quietly alter a signed document. If you dispute a document, take it up with the other party; we can produce the record of what happened.

5. Clients who receive a document

If you opened a link to review or sign a document, you may use it only for that. Do not share the link — it is your access to the document. Contact the contractor for anything about the work, the price or the schedule.

6. Acceptable use

  • Do not use the app to break the law, or to send anyone anything deceptive.
  • Do not upload material you have no right to use, or content that is unlawful.
  • Do not try to reach another company's data, get around the access limits your owner set, break the app, scrape it, or resell it as your own service.
  • Do not send bulk or unsolicited messages through the app.

We may suspend an account that does these things.

7. The assistant

The assistant writes suggestions — scopes of work, item descriptions, prices drawn from your own price book. It can be wrong. Nothing it produces reaches a client until you read it and send it, and you remain responsible for every number and every promise in a document you send. It does not give you legal, tax or engineering advice.

8. Fees

Where a paid plan applies, the price, the billing period and what is included are what we agreed with your company in writing. Fees are charged in advance and are not refundable for a period already started, unless the law says otherwise or we agreed otherwise. We will give notice before a price changes.

9. Availability

We work to keep the service up and we back it up nightly, but we do not promise it will never be unavailable. We may change or improve features; we will not remove something your company depends on without telling you. Keep your own copies of documents that matter to you — every PDF in the app can be downloaded.

10. Ending it

You may stop using Mi Chalan AI at any time, and close your account as described on the support page. We may end or suspend an account for a serious or repeated breach of these terms, or if we stop offering the service — in which case we will give reasonable notice and a way to export your records. Ask for your data before you close the account; afterwards it is deleted as described in the privacy policy.

11. Disclaimers

The service is provided “as is”. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the app will be error-free, that a client will pay, or that a document prepared in the app will be enforceable in your jurisdiction. Whether your estimates, contracts, licences and terms meet the requirements where you work is your responsibility — consider having a lawyer look at the terms and conditions you send out.

12. Limitation of liability

To the extent the law allows, neither side is liable for indirect, incidental, special or consequential damages, or for lost profits or lost business. Our total liability for any claim relating to the service is limited to the amount your company paid us in the twelve months before the claim, or one hundred US dollars if you paid us nothing. Nothing here limits liability that cannot legally be limited.

13. Your responsibility to us

If someone brings a claim against us because of what you put into the app, what you sent through it, or a dispute with your client, you will cover our reasonable costs in dealing with it.

14. Changes to these terms

If we change these terms we will update the date at the top, and for anything significant we will email account owners. Continuing to use the app after a change means you accept it.

15. Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Disputes belong to the state or federal courts located in Wyoming, and both sides consent to those courts.
